Indemnification An agreement to pay a director's (or agent's) expenses incurred in defending a third party's claim against the defendant. Chapter 13.
Indenture A document that sets out the terms of the loan and is executed by the borrowing company and an investment bank, acting as trustee for the ultimate lenders. Chapter 6.
Inflation risk The possibility that inflation will be different than anticipated thus increasing or decreasing the value of money to be received in the future. Chapter 3.
In-house lawyer A lawyer who works as an employee of the client rather than as an employee of a law firm that is hired by the client. Chapter 1.
Initial public offering (IPO) The sale of a corporation's securities to the general public for the first time. Chapter 6.
Insider trading Buying or selling publicly traded securities while in possession of material nonpublic information. Chapter 7.
Insolvency test A test to determine whether a corporation has lawfully declared a dividend. The elements are whether, after the dividend, the corporation's assets will exceed its liabilities and whether the corporation can pay its debts as they come due. Chapter 7.
Inspection right A shareholder's right to examine certain corporation documents in certain circumstances. Chapter 15.
Interested person An entity controlling a certain percentage of a target corporation's shares. Chapter 17.
Intermediate scrutiny Standard of review in Delaware that applies to a board's defensive actions during a hostile takeover; in between the business judgment rule and the entire fairness standard. Chapter 17.
Internal affairs The relations inter se of the corporation, its shareholders, directors, officers, and agents. The internal affairs doctrine is a choice of law rule that provides that a corporation's internal affairs are governed by the law of the state of incorporation. Chapter 5.
Intrastate exemption An exemption from the registration requirements of the federal securities laws for securities that are offered and issued only to the residents of the state in which the issuing corporation is incorporated and doing business. Chapter 6.
Investment contract An investment of money in a common enterprise in which the investor has an expectation of profit to come solely from the efforts of others. Chapter 6.
Issued Shares that a corporation has exchanged for consideration. Chapter 6.
