Balance sheet An accounting statement that divides things you own on a particular date into assets and liabilities. It further divides both assets and liabilities into those that are liquid and those that are illiquid. Chapter 3.

Bonding An assurance, such as an insurance policy or a financial penalty clause in an agency agreement, that assures principals that agents will not shirk or behave opportunistically. Chapter 4.

Bonds Debt securities issued by a corporation that are typically secured by the corporation's assets. Chapter 6.

Book entry system System whereby an entity, the Depository Trust Company, credits or debits a brokerage house's account with the net number of shares of each corporation owed or owing to other brokerage houses at the end of each trading day. Shares are not actually transferred. Chapter 15.

Break-up value The value of a business, comprising assets that would be worth more if operated separately. Chapter 3.

Break-up fee A termination provision that makes the target liable to the acquirer if the transaction fails to close. Chapter 17.

Broker overvote When a brokerage house inadvertently executes proxies (on behalf of shareholders) for more shares than it is entitled to vote. Chapter 15.

Bucks Money.

Business A business engages in sustained activities intended to generate more wealth than they use. Chapter 2.

Butter Money.

Buy-sell agreement A restriction on the transfer of shares in which both sides are required to effect a transaction. Chapter 7.
